Service Agreement

Terms of Service

These terms govern your use of Payvora, a service operated by Dune Payments Limited.

Last Updated: September 7, 2026

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or the "User") and Dune Payments Limited ("Dune Payments," "we," "us," or "our"), the company that operates Payvora (the "Service").

By registering for an account, accessing the Payvora website, mobile application, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any applicable fee schedules. If you do not agree to these Terms, you must not access or use the Service.

You represent and warrant that you are at least eighteen (18) years of age and legally capable of entering into binding contracts. If you are using the Service on behalf of a business, you represent that you have the authority to bind that entity.

2. About the Service

Payvora is a financial technology platform operated by Dune Payments Limited. The platform is designed to support multi-currency wallets, payment accounts, cards, transfers, currency exchange, mobile-money services, and other financial technology features through third-party financial infrastructure providers.

Dune Payments Limited is a financial technology company, not a bank. Regulated payment, account, card, transfer, mobile-money, and stablecoin-related services are made available only through appropriately licensed or regulated partners where applicable. Features are subject to partner approval, customer eligibility, jurisdiction, technical availability, and any additional partner terms.

The availability of specific features, currencies, corridors, and services may vary depending on your country of residence, provider activation, and applicable regulatory requirements. Features displayed in the application may remain unavailable or in test mode until the relevant provider has enabled production access.

3. Account Registration and Verification

To use the Service, you must complete the registration and verification process, which includes:

  • Providing accurate, current, and complete personal or business information.
  • Completing identity verification (KYC) by submitting valid government-issued identification and any additional documents requested.
  • Completing business verification (KYB) if registering as a business customer, including details of beneficial owners and directors.
  • Consenting to ongoing monitoring, including sanctions screening and transaction monitoring for Anti-Money Laundering (AML) and Counter-Terrorism Financing (CTF) compliance.

You authorise Dune Payments and its partners to verify the information you provide against third-party databases and to conduct periodic re-verification. We reserve the right to refuse, suspend, or close an account if verification cannot be completed or if the information provided is found to be inaccurate.

4. Wallets, Balances, and Funds

Where enabled by an approved provider, Payvora may allow you to view or use balances in supported fiat currencies and, where expressly enabled, supported stablecoin-related balances. The legal treatment and safeguarding of funds depend on the relevant provider, product, and jurisdiction. Where safeguarding is required, funds are held under the applicable safeguarding framework of the regulated provider; Dune Payments does not represent itself as the deposit-taking bank.

Electronic-money, payment-account, or wallet balances may not be bank deposits and may not be protected by a deposit guarantee scheme unless the applicable provider expressly states otherwise. Any rights you have in relation to funds will be governed by the relevant product structure, provider terms, and applicable law.

You are responsible for maintaining sufficient funds to cover any pending transactions, fees, or chargebacks. Negative balances may be recovered from linked funding sources or through collections.

5. Virtual Cards

Where card issuing has been activated for an eligible customer, Payvora may make virtual cards available through an approved card-issuing or programme partner. Card availability, funding, usage, limits, supported merchants, and network acceptance are subject to the issuing partner's rules and the applicable card-network requirements.

By using a virtual card, you agree that:

  • You will use the card only for legitimate and lawful transactions.
  • You will not use the card for prohibited activities, including but not limited to illegal gambling, money laundering, sanctions violations, or the purchase of prohibited goods.
  • You may set spending limits, lock, or delete your cards at any time through the Service.
  • Card transactions are subject to the terms of the issuing partner and the applicable card network rules.
  • Disputed transactions may be subject to chargeback processes governed by card network rules.

6. Transfers and Currency Exchange

Where enabled by an approved provider, Payvora may support domestic or international transfers through available rails such as bank transfer, mobile money, or internal Payvora transfers. Specific rails, including ACH, wire or other local payment methods, are available only where supported by the relevant provider. Transfer availability, speed, limits, and cost vary by corridor, currency, method, and customer eligibility.

Currency conversion is offered at displayed exchange rates, which may include a margin over the mid-market rate. All applicable fees and the exchange rate are disclosed before you confirm a transaction. Once confirmed, a transfer may not be reversible.

Transfers may be subject to compliance review, including holds for further verification. Dune Payments reserves the right to delay, block, or reject any transaction that triggers a compliance alert, appears suspicious, or violates applicable law or these Terms.

Quotes for exchange rates and fees are valid for a limited time and may expire. An expired quote requires a new confirmation at the current rate.

7. Fees and Pricing

Fees for the Service are displayed on the Payvora pricing page and within the application at the point of each transaction. Fees may include account maintenance fees (where applicable), transfer fees, currency conversion fees, card transaction fees, and network fees for stablecoin settlement.

You authorise Dune Payments to deduct applicable fees from your wallet balance or linked funding source. Fee schedules may be updated with prior notice. A complete schedule of current fees is available at our pricing page or within the Service.

8. AI-Assisted Features

Payvora includes AI-assisted features such as transaction categorisation, spending insights, transfer routing suggestions, and natural-language financial queries. These features are provided for informational purposes only and do not constitute financial, investment, tax, or legal advice.

You acknowledge that AI-generated insights may be incomplete, inaccurate, or not applicable to your individual circumstances. You are solely responsible for any financial decisions you make. Dune Payments is not liable for losses arising from reliance on AI-assisted suggestions.

9. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right.
  • Engage in money laundering, terrorist financing, fraud, sanctions evasion, or any other illicit activity.
  • Process proceeds of crime or funds derived from illegal sources.
  • Use another person's identity or provide false information.
  • Attempt to gain unauthorised access to the Service, its systems, or other users' data.
  • Interfere with or disrupt the Service, including introducing malware or automated scraping tools.
  • Use the Service for prohibited categories, including but not limited to unregulated gambling, adult content, weapons trafficking, counterfeit goods, or cryptocurrency trading not supported by the Service.
  • Reverse engineer, decompile, or otherwise attempt to extract source code from the Service.

10. Account Security

You are responsible for safeguarding your account credentials, including passwords, one-time passcodes, and API keys. You must enable multi-factor authentication where available. You agree to notify Dune Payments immediately of any unauthorised account access or suspected security breach.

You are liable for all activities conducted under your account unless the activity resulted from Dune Payments' failure to maintain reasonable security. We may suspend or restrict access to your account if we suspect a security compromise.

11. Privacy

Our handling of your personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

12. Intellectual Property

The Service, including its design, branding, software, content, and features, is owned by Dune Payments Limited and its licensors and is protected by intellectual property laws. "Payvora," "Dune Payments," and associated logos are trademarks of Dune Payments Limited.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

13. Limitation of Liability

To the maximum extent permitted by law, Dune Payments Limited, its affiliates, partners, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or related to your use of the Service.

Our total aggregate liability for any claim arising out of or related to the Service shall not exceed the total fees you paid to us in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

14. Indemnification

You agree to indemnify and hold harmless Dune Payments Limited, its officers, directors, employees, and partners from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

15. Suspension and Termination

You may close your account at any time by contacting support, subject to the settlement of any pending transactions and the recovery of any outstanding balances or fees.

Dune Payments may suspend, restrict, or terminate your account at any time, with or without cause, including if we suspect a violation of these Terms, a security risk, fraudulent activity, or if required by law or a regulatory authority. Upon termination, we will return any remaining wallet balance to you (less applicable fees and deductions) via the method we determine, subject to compliance checks.

Provisions that by their nature should survive termination — including those relating to liability, indemnity, intellectual property, compliance, and dispute resolution — shall remain in effect after account closure.

16. Modifications to These Terms

We may modify these Terms from time to time. We will provide notice of material changes by posting the updated Terms on this page and, where appropriate, by email or in-app notification. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you disagree with the changes, you must stop using the Service and close your account.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Dune Payments Limited is registered, without regard to conflict of law principles.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes informally by contacting the other party in writing. If the dispute cannot be resolved within thirty (30) days, either party may pursue binding arbitration or file a claim in a court of competent jurisdiction, as permitted by law.

18. Regulatory Disclosures

Dune Payments Limited operates Payvora as a financial technology platform and does not represent itself as a bank. Regulated financial services are provided through approved third-party financial institutions and infrastructure providers where applicable. The identity of a provider and any provider-specific terms may vary by product and jurisdiction and will be disclosed where required.

KYC, AML, and CTF checks are mandatory for all accounts. Dune Payments and its partners are obligated to report suspicious activity to the relevant financial intelligence units. Tax reporting obligations may apply depending on your jurisdiction, and you are responsible for your own tax compliance.
